Protecting the Corporate Veil

An LLC creates a legal wall between you and your business. That wall is called the corporate veil. It is not permanent. It is not automatic. It only holds if you maintain it.

A court can pierce the veil — meaning they treat the LLC as if it doesn’t exist and hold you personally liable — if they see evidence that you didn’t actually run the LLC as a separate entity.

The Four Things That Destroy LLC Protection

  • Mixing personal and business money. Paying personal bills from your business account, or using your personal account to pay business expenses, destroys the separation. This is the most common veil-piercing issue. A separate bank account is not optional — it’s what makes the LLC real.
  • No operating agreement. Most states don’t legally require one, but without it, you have no documented evidence that your LLC is operating as a real business. Write one and keep it in your binder.
  • Treating the LLC as your personal piggy bank. Withdrawing money for personal use without documenting it as an owner’s draw or distribution is a red flag. Every transfer from business to personal needs a paper trail.
  • Not maintaining business records. No receipts, no expense logs, no income records, no meeting minutes (even if you’re the only member). If it isn’t documented, it didn’t happen in the eyes of a court.

What “Maintaining the Veil” Looks Like in Practice

  • All business income goes into the business bank account — not your personal account, not Venmo to your personal profile
  • All business expenses are paid from the business account or business card
  • You pay yourself via a formal owner’s draw — a transfer from business to personal with a clear label
  • You keep receipts and log every business expense
  • Your business has a signed operating agreement on file (even a simple one-page document)

The Reality Check

Most home bakers will never face a lawsuit. But the discipline of running your LLC properly has a second benefit beyond legal protection: it forces you to treat your business like a business. Bakers who maintain clean separation consistently track their numbers better, price better, and build faster.
